What a holding-company merch programme looks like

Serbian holding groups — investment holdings, family offices and multi-sector portfolio companies — buy merchandise at two levels. The holding company itself needs items for board meetings, shareholder events, AGM materials and group-level client entertainment, and the underlying portfolio companies (subsidiaries, joint ventures, regional operating units) need their own onboarding, client-gift and event programmes. Both run on the same decoration infrastructure but on different brand books, different cost centres and different approval ladders.

Volumes per portfolio company run from 100 to a few thousand units per order, and the holding-level order book is smaller but more formal — board packs, AGM folders, Slava gifts, partner-anniversary pieces and group-wide staff recognition items. The challenge is keeping the brand identity coherent across the group without forcing every subsidiary onto the same product list. We work with both the group HQ and the individual operating companies, on a single underlying catalogue with per-portfolio brand variants.

Group catalogue and per-portfolio brand variants

The catalogue for a holding group is built in two layers:

Group layer. A small set of shared templates — board folders, AGM briefing packs, group-level notebooks, group-wide recognition awards, partner-gift boxes — that use the holding company's master brand mark. These items are ordered centrally by HQ and shipped to board members, shareholders and group-level events. Pricing is held on a 12-month catalogue and the decoration file (logo, colour reference, Pantone code, foil specification) is locked.

Portfolio layer. The same product templates re-skinned with the subsidiary brand book. A notebook, a tote, a pen, a mug, a water bottle, a T-shirt — all available in the group catalogue — are produced with the subsidiary's logo, palette and tagline on demand. Per-portfolio decoration files are stored per entity so reorders don't depend on retrieving old artwork, and per-portfolio pricing reflects the entity's cost centre and VAT registration.

This two-layer setup avoids the typical problem of every subsidiary reinventing the same SKU list, and it gives the holding HQ a single procurement counterparty for group-level orders without forcing operating companies to route their own merch through HQ.

Onboarding, board packs and inter-company events

Holding-company merch programmes typically cover three recurring workstreams:

Subsidiary onboarding. When a new operating company joins the group — acquisition, greenfield establishment, joint venture — onboarding kits are issued to incoming staff: a notebook, a pen, a branded water bottle, a small accessory, plus a welcome letter from group HQ. The branding matches the subsidiary's identity but the SKU specification is reused across the group for procurement efficiency.

Board and AGM packs. For the holding-company board, supervisory board and AGM, branded folders, printed agenda books, name badges, lanyards and table signage are produced in small runs (typically 20 to 80 sets) at short notice. The decorative spec is exact — typically hot-foil logo on a textured cover stock — and we keep a working buffer of generic board-pack components at the Belgrade warehouse for fast turnaround.

Inter-company events. Group-level summits, leadership offsites, portfolio-wide conferences and recognition events pull merchandise from both the group catalogue and the portfolio catalogue simultaneously. We run these as a single PO with mixed branding and ship to the venue (Sava Centar, Hyatt Regency Belgrade, Hotel Moskva, Crowne Plaza Belgrade) the day before, with a labelled carton per session.

Product tiers and what they cover

The group catalogue typically splits into four tiers:

Group tier. Premium items reserved for the holding brand: hot-foil notebooks and leather accessories, board-pack folders, recognition awards, glassware for Slava tables and signature partner-gift boxes. Quantities are small and unit cost runs higher.

Subsidiary onboarding tier. Mid-grade items issued to new hires across the portfolio: a heavier notebook, a metal pen, a canvas tote, a branded water bottle. Quantities track each subsidiary's quarterly hiring cycle.

Portfolio event tier. Conference and event collateral for the operating companies: roll-up banners, table signage, branded folders, giveaway sets. Production windows are typically 5–7 working days.

Promo tier. Entry-grade items for retail-front subsidiaries, trade-show giveaways and brand-awareness campaigns. Branded pens, basic tote bags, stickers, mugs, lanyards. Volumes run from 500 to several thousand units per batch, with the lowest per-unit cost.

Procurement, compliance and intra-group invoicing

Holding-group procurement has two parallel tracks — group-level orders and subsidiary-level orders — and the invoicing structure must respect both. We issue separate invoices per receiving legal entity: each subsidiary's invoice runs through SEF e-faktura with PDV 20% on the local side, and group-level invoices can be issued to the holding entity or to a designated intra-group cost centre.

On the compliance side, we keep ISO 9001, ISO 14001, OEKO-TEX 100, FSC and BSCI / Sedex certificates available for procurement files. REACH SVHC and RoHS declarations are confirmed at SKU level rather than as a generic claim. For holding groups with regulated-industry subsidiaries (financial services, energy, telecom), we sign anti-bribery, confidentiality and localisation clauses per portfolio entity where the tender requires them.

The decoration files for each portfolio company are stored as versioned assets so reorders don't depend on retrieving old artwork — important for groups that have grown by acquisition and inherited brand books from companies that no longer exist as operating entities.

Serbia context for holding-company merch

The Serbian holding-company segment spans listed industrial holdings (Delta Holding, MK Group, Victoria Group), agricultural and food groups (MK Commerce, Agrolid Group), regional operating companies in the Western Balkans, and family-controlled investment vehicles. The common profile is: a small HQ with a centralised procurement or marketing-procurement function, and a portfolio of operating companies each running its own brand on the ground.

We work with both the group HQ and the individual portfolio companies on a single underlying catalogue. Group-level orders are handled through the holding entity's procurement process; subsidiary-level orders go through the operating company's procurement team, with a named account lead on each side. The Slava cycle (family-patron-saint days) is the most distinctive holding-group gifting moment in Serbia — a small-batch premium gift run, often re-skinned per portfolio entity, delivered to key clients and partners in the weeks leading up to each subsidiary's Slava date.

Frequently asked questions

How does a holding-group catalogue differ from a single-company catalogue?

The group catalogue is built in two layers. A small set of shared templates (board folders, group-level notebooks, recognition awards) sits at the holding-company layer. The same product templates — notebooks, pens, totes, bottles, T-shirts — are then re-skinned at the subsidiary layer with the operating company's logo, palette and tagline. Pricing and decoration files are held per portfolio entity so reorders don't depend on retrieving old artwork from a former brand owner.

Can group HQ and each subsidiary be invoiced separately?

Yes. We issue separate invoices per receiving legal entity. Each subsidiary's invoice runs through SEF e-faktura with PDV 20% on the local side, and group-level invoices can be issued to the holding entity or to a designated intra-group cost centre. For holding groups with international subsidiaries, we coordinate separate invoice streams per jurisdiction so each entity's VAT position stays clean.

What minimum run makes sense for a portfolio-wide programme?

The Serbia baseline of 30 units applies to pilot orders and SKU evaluation runs. Group-tier orders (board packs, recognition awards, premium gifts) typically run from 20 to 100 units per batch. Subsidiary onboarding tiers track the quarterly hiring cycle, usually 100–500 units per batch. Promo tiers start at 500 units per SKU to unlock the lowest per-unit cost.

How long does a holding-group order take?

Replenishment orders against a stocked buffer ship within 48 hours. Serial production runs of 5–10 working days after strike-off sign-off; 8–14 working days for premium and gift tiers. For inter-company events we keep a 3-day express track available with a modest rush premium. Board and AGM pack orders typically run on a 5–7 working-day window.

Can decoration files be stored per portfolio entity?

Yes. Decoration files are stored per portfolio entity as versioned assets — logo files, Pantone references, foil specifications, decoration method per SKU. Reorders reference the stored file, which avoids the typical problem of artwork disappearing after a portfolio restructuring. We can also onboard inherited brand books from acquired subsidiaries at the start of the programme.

Is Corp-Merch a partner or affiliate of any Serbian holding group?

No. Corp-Merch is an independent merchandise production partner. We produce branded merchandise for holding groups, portfolio companies and operating subsidiaries across Serbia and the wider region, but we have no formal partnership, sponsorship or affiliation with the holding groups we supply. References to Serbian holding groups on this page are illustrative of the type of client we serve, not endorsements. Where a procurement contract requires a named-supplier register or an anti-bribery clause, we sign it at the procurement level — that is a contractual relationship, not a marketing partnership.
